Robin Archibald is an experienced corporate financier and chartered accountant, who has specialised in the UK closed-ended funds sector for over twenty-five years, working in London and Edinburgh, with a number of leading closed-ended fund teams. He has direct non-executive experience of serving on six investment funds’ boards and considerable experience of advising fund management groups and boards of investment and other listed companies through his corporate finance roles.

 

Current Roles ALBION TECHNOLOGY & General VCT: NON-EXECUTIVE DIRECTOR And chairman of audit committee Joined board on merger of Albion Income & Growth with Albion Technology & General VCT in late 2013.  Chairman of audit committee of both companies.

1980 – 2014 Touche Ross (Glasgow): 1980 to 1983, audit and tax, qualified as chartered accountant in 1983. Touche Ross (now Deloitte) (London): 1983 to 1986, corporate finance and financial services manager.

 

Samuel Montagu (Merchant bank): 1986 to 1989, corporate finance manager, including privatisation work, industrial/commercial M&A, IPOs and restructurings.

 

SG Warburg Securities (Corporate Broker): 1989 to 1995, corporate broking and corporate finance, establishment of team for investment trust sponsorship work, divisional director of an exceptionally busy corporate team.

 

NatWest Wood Mackenzie (Corporate Broker): 1995 to 1997, corporate finance, to rebuild investment trusts team, director and head of investment trust corporate finance and broking: transaction work and retention of corporate clients.

 

RMD, Intelli Corporate Finance (Advisory Boutique): 1997 to 2003, partner in large, independent Scottish accounting firm and founding shareholder of corporate finance boutique, established in 2000. Head of corporate finance for Intelli, a sponsor and FSA authorised firm, specialising in financial services and funds’ advisory. Compliance officer for corporate finance activities of RMD.  Built up a successful advisory business, which had a strong transaction record for reorganisations, restructurings and listings.

 

Winterflood Securities (Corporate Broker and Trading House): 2003 to 2014, responsible for approximately £13 billion of corporate clients and led on substantial and varied transaction work. Maintenance of sponsorship status for twenty-four-person funds team. Head of Corporate Finance and Broking until August 2013.  Retired April 2014.

 

Albion Income & Growth VCT: 2010 to 2014, non-executive director and Chairman of audit committee.

 

Other Professional Experience:

 

Chairman of the Candidates Board and on the Executive Board of the Scottish Conservatives: Responsible for candidates’ activities for European, Westminster and Holyrood elections until 2012. Member of disciplinary committee.

 

Chairman of Stewart Ivory Financial Education Trust: Three year role to help establish the organisational structure of this Scottish based educational charity.

 

Education and professional: Chartered accountant, qualified in 1983 with Touche Ross and Co. University of Edinburgh, Bachelor of Commerce (with distinction) 1980. Business Studies and Law. Claremont High School, East Kilbride left 1977.

 

Skills: Good and wide record of transaction completions. Led the advisory effort on a wide range of corporate events, ranging from IPOs to M&A; financial restructurings to beauty parades for management contracts etc; policy to technical changes to companies’ constitution.  Primary relationship contact for significant proportion of client list. Built up corporate teams and headed corporate businesses in three separate organisations, including founding a corporate finance boutique. Eight years’ direct experience as a non-executive director and six as audit chairman. Specialised in closed-ended funds, but have a good general corporate finance experience and wide range of contacts in fund management and advisory industries in London and Edinburgh.

 

Personal: Born 16th April 1959. Married (1997) with three children (born 1999, 2000, 2002). Time split between London and Edinburgh, homes in both cities.
